Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, software, and services provided by OuterData Corporation, a Florida corporation ("OuterData," "we," "our," or "us"), including OuterBot, OuterCMS, OuterPOS, Outertix, OuterStudio, OuterMedia, and Voxcoms (collectively, the "Services").

By creating an account or using any of our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Eligibility

You must be at least 13 years old to use our Services. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using our Services, you represent that you have the legal capacity to enter into a binding agreement.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@outerdata.com if you suspect unauthorized access to your account.

You may not share your account with others or create accounts using automated means. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree not to use our Services to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of others
• Transmit malware, viruses, or other malicious code
• Attempt to gain unauthorized access to our systems or another user's account
• Engage in scraping, reverse engineering, or decompiling our Services
• Use our Services in any way that disrupts, overloads, or impairs their operation
• Resell or sublicense our Services without written authorization

4. Subscriptions and Billing

Certain Services are available on a paid subscription basis. Subscription fees are billed in advance on a monthly or annual basis, depending on your plan. All fees are in US dollars and are non-refundable except as required by law or as expressly stated in these Terms.

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.

We reserve the right to change our pricing with 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

5. Free Tier

We offer free tiers for certain Services. Free tiers are provided "as is" and may have usage limits. We reserve the right to modify or discontinue free tier features at any time with reasonable notice.

6. Intellectual Property

All content, software, and materials provided through our Services — including but not limited to code, design, logos, and documentation — are the property of OuterData Corporation or our licensors and are protected by applicable intellectual property laws.

You retain ownership of any content or data you create, upload, or store using our Services. By using our Services, you grant OuterData a limited, non-exclusive license to process your data solely to provide the Services to you.

7. Confidentiality of Your Data

We do not access, read, or share your project files, source code, or proprietary data except as necessary to provide the Services or as required by law. OuterBot context files are stored locally on your machine by default and are not transmitted to our servers without your explicit action.

8. Third-Party Integrations

Our Services may integrate with third-party tools (e.g., VS Code, AI platforms). Your use of third-party services is subject to their respective terms and privacy policies. OuterData is not responsible for the practices or content of third-party services.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUTERDATA CORPORATION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $50 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless OuterData Corporation and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services ceases immediately. You may delete your account at any time through your account settings.

Sections that by their nature should survive termination (including intellectual property, disclaimer of warranties, limitation of liability, and indemnification) shall survive.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Lee County, Florida.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on our website at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OuterData Corporation regarding the Services and supersede all prior agreements and understandings.
